Acceptance of Terms

By registering for an account, clicking "I agree", or using any part of our services, you confirm that:

• You have read, understood, and agree to these Terms of Service.
• You are at least 18 years of age and have the legal capacity to enter into a binding contract.
• If you are acting on behalf of a business or organisation, you have the authority to bind that entity to these Terms.

These Terms form a legally binding agreement between you (or your organisation) and Takshak Ltd.

Service Description

Hire-X.ai provides AI workforce solutions, including AI employees — autonomous AI agents configured to perform business functions and integrate with tools such as Microsoft Teams, email, CRM systems, and other business software used by UK organisations.

Our services include, but are not limited to:

• Configuration and deployment of AI employee agents tailored to your business needs
• Integration with your existing communication and productivity tools
• Ongoing management, monitoring, and improvement of deployed AI employees
• Customer support and account management services

We reserve the right to modify, update, or discontinue any feature of the service with reasonable prior notice. Where changes are material, we will provide at least 30 days' notice.

Accounts & Access

Account registration

To use our platform, you must register for an account and provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

Your responsibilities

• Notify us immediately of any unauthorised access to your account at hello@hire-x.ai.
• Ensure all users in your organisation who access the service comply with these Terms.
• Keep your contact and billing information current and accurate.

Account security

We implement industry-standard security measures to protect your account. However, you accept that no internet transmission is entirely secure and we cannot guarantee absolute security.

Acceptable Use

You may use our services only for lawful business purposes and in accordance with these Terms. You must not:

• Use the service for any unlawful purpose or in violation of any applicable UK or international law or regulation
• Attempt to gain unauthorised access to any part of the platform, other accounts, or our computer systems
• Use the service to harass, abuse, threaten, or harm any person
• Transmit spam, unsolicited communications, or malicious code
• Reverse-engineer, decompile, or disassemble any part of our platform or AI systems
• Resell, sublicense, or commercially exploit our services without prior written consent
• Use the service in a manner that could damage, overburden, or impair our infrastructure
• Attempt to circumvent, disable, or interfere with security features of the service
• Use our AI employees to generate, distribute, or process content that is illegal, defamatory, fraudulent, or that violates third-party rights

We reserve the right to suspend or terminate access for breach of these provisions without notice where the breach is serious.

Payment & Billing

Subscription fees

Our services are provided on a subscription basis. Fees are as set out in the pricing schedule on our website or as agreed in your service contract. All prices are exclusive of VAT unless stated otherwise.

Payment terms

• Subscriptions are billed monthly or annually in advance as selected at sign-up.
• Payment is due within 14 days of invoice date unless otherwise agreed.
• We accept payment by credit/debit card and bank transfer.
• Late payments may incur interest at the statutory rate under the Late Payment of Commercial Debts (Interest) Act 1998.

Refunds

Monthly subscriptions are non-refundable once the billing period has started. Annual subscriptions may be eligible for a pro-rata refund within 14 days of the start date, at our discretion. Set-up and onboarding fees are non-refundable.

Price changes

We will provide at least 60 days' written notice of any price increase. Continued use of the service following the notice period constitutes acceptance of the new pricing.

Intellectual Property

Our intellectual property

All intellectual property rights in the Hire-X.ai platform, website, software, AI models, documentation, and branding — including trade marks, patents, copyrights, and trade secrets — are owned by or licensed to Takshak Ltd. Nothing in these Terms grants you any rights in our intellectual property except for the limited licence to use the service.

Your content and data

You retain ownership of all data, content, and materials you provide to us ("Customer Content"). By using our services, you grant Takshak Ltd a limited, non-exclusive licence to process your Customer Content solely as necessary to deliver the services.

Feedback

If you provide us with suggestions, ideas, or feedback about our services, you grant us a royalty-free, irrevocable licence to use that feedback without restriction or compensation to you.

Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party that is reasonably identified as confidential ("Confidential Information"). This obligation does not apply to information that:

• Is or becomes publicly available without breach of this agreement
• Was already known to the receiving party before disclosure
• Is independently developed by the receiving party without reference to the Confidential Information
• Is required to be disclosed by law or a regulatory authority

Both parties agree to use Confidential Information only as necessary to perform obligations under these Terms and to protect it with at least the same degree of care used to protect their own confidential information.

Data & Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data in compliance with UK GDPR and the Data Protection Act 2018.

Where we process personal data on your behalf as part of delivering the service, we act as a data processor and you act as the data controller. A Data Processing Agreement is available upon request and may be required under applicable data protection legislation.

You are responsible for ensuring you have a lawful basis to share personal data with us and that your use of our services complies with applicable data protection laws.

Limitation of Liability

Service warranty

We provide our services with reasonable care and skill. We do not warrant that the service will be uninterrupted, error-free, or that results obtained from use of the service will meet your requirements. AI-generated outputs are provided "as is" and should be reviewed by a qualified person before being relied upon for material decisions.

Exclusions

We shall not be liable for:

• Loss of profits, revenue, business, contracts, anticipated savings, or goodwill
• Loss or corruption of data or software
• Any indirect, special, incidental, or consequential loss arising from use of our services
• Losses arising from third-party services, integrations, or actions outside our reasonable control

Cap on liability

Our total aggregate liability in connection with these Terms (whether in contract, tort, or otherwise) shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.

Consumer rights

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Termination

Termination by you

You may cancel your subscription at any time by providing written notice to hello@hire-x.ai. Cancellation takes effect at the end of the current billing period.

Termination by us

We may suspend or terminate your access to the service:

• Immediately, if you materially breach these Terms and the breach is incapable of remedy, or is not remedied within 14 days of notice
• Immediately, if required to do so by applicable law or a regulatory authority
• With 30 days' notice, at our discretion, where we are discontinuing the service

Effect of termination

Upon termination, your access to the service will cease. We will retain a copy of your data for 30 days following termination, after which it will be permanently deleted unless a longer retention period is required by law. You may request an export of your data before termination.

Clauses that by their nature survive termination — including Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law — shall continue in full force and effect.

Governing Law & Disputes

These Terms of Service and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, provided that we reserve the right to seek injunctive or other equitable relief in any jurisdiction as necessary to protect our intellectual property or confidential information.

Before commencing formal proceedings, we encourage the parties to attempt to resolve any dispute in good faith through direct negotiation. Neither party shall be precluded from seeking urgent interim relief from a court if necessary.

Changes to These Terms

We may update these Terms of Service from time to time. For material changes, we will provide at least 30 days' notice by email or by posting a prominent notice on our website before the changes take effect.

Your continued use of our services after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you should stop using our services and notify us to close your account.
